Terms of Use
Effective: 11 October 2026
1. Provider and scope
Romy is provided by Romy GmbH, Hohenzollernstraße 41, 80801 Munich, Germany, registered in the commercial register of Amtsgericht München (Munich Local Court) under HRB 316211 ("Romy", "we").
These terms apply to the use of Romy through the Romy portal (login.getromy.com), the Microsoft Teams app "Romy", the Romy app on devices and Romy's Microsoft Entra applications (together, "the Service").
The Service is intended exclusively for businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law ("Customer"). Where an individual agreement has been concluded with the Customer, its provisions and the data processing agreement take precedence over these terms. The Customer's own terms apply only if we expressly agree to them.
2. The Service
Romy observes the Customer's Microsoft environment (in particular Microsoft Entra ID and Microsoft Intune), assesses its state and proposes reasoned measures.
Romy can act only where the Customer has expressly granted narrowly scoped write access, and only after confirmation by an authorized person. For Customers who require it, Romy performs device actions exclusively as a service account set up by the Customer; which actions are possible on which devices is determined by the Customer through the roles and device groups in its Microsoft environment.
Romy's proposals and assessments are based on the data the Customer has made available. A particular outcome of a measure is not owed unless expressly agreed. Individual features may be marked as pilot or preview; they are provided without guaranteed availability and may be changed or discontinued.
3. Access, consent and revocation
The Customer grants Romy access to its Microsoft environment itself, through consent by an authorized administrator to Romy's applications. The Customer may revoke these consents in Microsoft Entra ID and deactivate service accounts used by Romy at any time; from then on, Romy can no longer read the affected data or perform actions.
The Customer ensures that only authorized persons grant consent, confirm actions and access the portal, and that credentials and service accounts are adequately protected (in particular by multi-factor authentication).
4. Customer obligations
The Customer uses the Service only in accordance with applicable law and its Microsoft licenses. It is responsible for being permitted to have the data processed by Romy processed, and for informing affected employees where required.
The Customer refrains from interference that impairs the operation or security of the Service and promptly reports security incidents or misuse it becomes aware of to info@getromy.com.
5. Data protection
Where Romy processes personal data on behalf of the Customer, it does so on the basis of a data processing agreement pursuant to Art. 28 GDPR. Data is processed in Microsoft Azure in the Germany West Central region (Frankfurt am Main). Details are set out in the data processing agreement and the privacy information at www.getromy.com/en/privacy.
6. Availability
We strive for operation that is as uninterrupted as possible. A specific availability is owed only if agreed in an individual agreement. Where possible, we carry out maintenance outside usual business hours. The Service depends on third-party services, in particular Microsoft; we are not responsible for their outages.
7. Rights in Romy
For the duration of use, the Customer receives a simple, non-transferable right to use the Service for its own purposes. All rights in Romy, the software and the content of the Service remain with Romy GmbH. The Customer's data remains the Customer's data.
8. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee given.
In cases of slight negligence, we are liable only for breach of a material contractual obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the Customer may regularly rely, and limited to the foreseeable damage typical for the contract. Otherwise, liability is excluded.
For pilot and preview features provided free of charge, we are liable only for intent, gross negligence and fraudulently concealed defects.
9. Changes
We may amend these terms with effect for the future where this is reasonable for the Customer. We will notify the Customer of material changes in text form at least four weeks before they take effect; if the Customer does not object within this period, the changes are deemed accepted. We will point out this consequence in the notification.
10. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for all disputes arising from or in connection with the Service is Munich, to the extent permitted by law.
Should any provision be invalid, the validity of the remaining provisions remains unaffected. The German version of these terms is authoritative; the English version is provided for information.
